Terms and Conditions for BidAsFiled

Welcome to BidAsFiled. These Terms of Service ("Terms") are a binding agreement between you and RAINIER CAPITAL LLC, a Washington limited liability company ("we," "us," or "our"), and they govern your access to and use of the BidAsFiled website at https://bidasfiled.com and the related software, tools, and services we make available (collectively, the "Service").

By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What BidAsFiled Does

BidAsFiled is a subscription software tool that helps Delta Air Lines pilots build a ranked, printable PBS bid. You configure scoring preferences, the tool ranks the monthly trip pairings against those preferences, and you select and print the result for entry into NavBLUE PBS. BidAsFiled is an independent product. It is not affiliated with, sponsored by, or endorsed by Delta Air Lines, NavBLUE, the Air Line Pilots Association, or any airline, union, or employer. You are solely responsible for reviewing and submitting your own bid.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. The Service is intended for professional pilots; by using it you represent that you are one.

3. Accounts and Sign-In

You can create and access your account in two ways: (a) signing in with a Google account, in which case we receive your name, email address, and profile image from Google; or (b) requesting a one-time magic-link email, in which case we record the email address you provide and send a sign-in link to it. You are responsible for keeping whichever sign-in method you use secure (including the Google account or email inbox tied to your BidAsFiled account) and for all activity that occurs under your BidAsFiled account. Notify us immediately at support@bidasfiled.com if you suspect unauthorized use.

4. Free Trial

When you start a trial you must provide a valid payment method. Your card will not be charged during the trial period (currently 30 days). If you cancel before the trial ends, you will not be charged. If you do not cancel, your card will be charged the then-current subscription fee and your subscription will begin automatically. You may cancel at any time from the billing portal linked inside your account page.

5. Subscription, Billing, and Cancellation

The subscription is billed monthly in advance at the price shown on https://bidasfiled.com at the time you start your trial (currently $9.99 USD per month). Payments are processed by Stripe, Inc. We do not see or store your full card number. Prices may change; we will give you at least 30 days' notice by email before any price change takes effect on your account, and you may cancel before the new price applies.

You can cancel your subscription at any time. Cancellation stops future renewals and your access continues through the end of the current billing period. We do not prorate or refund partial months, except as required by law or in our sole discretion.

6. Referral Program

We may offer a referral program in which existing subscribers receive an account credit when a new user they refer starts a paid trial with a valid payment method. Current terms:

- One credit, equal to one month of the current subscription price, is applied to the referrer's Stripe customer balance when a referred user successfully starts a trial.
- The credit is automatically applied against the referrer's next invoice.
- Self-referrals (referring yourself or another account you control) are not eligible, do not count, and do not earn credit.
- We may modify, suspend, or end the referral program at any time. We may withhold or claw back credits we believe were earned through fraud, abuse, or violation of these Terms.

7. Acceptable Use

You agree not to:

- share your account, credentials, or a logged-in session with anyone else;
- resell, sublicense, or redistribute the Service or its outputs to third parties;
- scrape, copy, or redistribute bid package data displayed in the Service except for your own personal bidding use;
- reverse-engineer, decompile, or attempt to extract our source code;
- use the Service to harm, harass, or defraud any other person;
- use the Service in violation of law or any collective bargaining agreement, employer policy, or FAA regulation that applies to you.

We may suspend or terminate your access for any material breach of these Terms.

8. Your Data

You retain ownership of your scoring preferences, saved presets, and other data you enter. You grant us a limited license to store and process that data solely to operate the Service for you. We describe what we collect and how we handle it in our Privacy Policy at https://bidasfiled.com/privacy-policy.

9. Our Content and Intellectual Property

The software, website design, copy, logos, and all underlying code are owned by RAINIER CAPITAL LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal pilot bidding while your subscription is active. We reserve all rights not expressly granted.

10. Bid Package Data

Bid packages, pairing data, and related airline-provided information used by the Service are the property of their respective owners. We display that data to help you prepare your personal bid. You may not redistribute or republish this data.

11. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING THE OUTPUT BEFORE SUBMITTING ANY BID. WE DO NOT GUARANTEE ANY SPECIFIC BID OUTCOME, AWARD, OR SCHEDULE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RAINIER CAPITAL LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR SCHEDULE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless RAINIER CAPITAL LLC from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.

14. Termination

You may stop using the Service at any time by cancelling your subscription. We may suspend or terminate your access if you breach these Terms, if continued service to you creates a legal or security risk, or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

15. Changes to the Service or These Terms

We may update the Service and these Terms from time to time. If we make a material change, we will post the updated Terms at https://bidasfiled.com/tos and update the "Last Updated" date above. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction there.
